Terms of Service
Last updated: September 23, 2026
These Terms of Service (the "Terms") are an agreement between CPA Connect, Inc., a Tennessee corporation ("CPA Connect", "we", "us"), and the accounting firm or individual that creates an account ("you" or the "Customer"). They govern your use of the CPA Connect website, web application, API, and integrations (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.
If you accept these Terms on behalf of a firm, you confirm that you have the authority to bind that firm.
1. The Service
CPA Connect provides practice management software for accounting firms, including client records, project workflows, team and time tracking, billing and payments, client communications, and reporting. We may add, change, or remove features. If we discontinue a feature that materially affects you, we will give you reasonable notice.
2. Accounts
- You must provide accurate account information and keep it current.
- You are responsible for everything that happens under your firm's accounts, including the actions of the staff you invite.
- Keep your credentials confidential. Enable two-factor authentication. Tell us right away at support@mycpaconnect.com if you suspect unauthorized access.
- Firm administrators control who has access to the firm's data. Every member of a firm can see and work with that firm's data. Removing a user removes that user's access.
3. Your data
You own the data you and your staff enter into the Service, including information about your clients ("Customer Data"). You grant us a license to host, process, transmit, and display Customer Data only as needed to provide the Service to you, to prevent or address problems, and as the law requires.
You are responsible for Customer Data. In particular, you confirm that:
- You have the right, and any consents the law requires, to enter your clients' information into the Service.
- You will comply with the laws that apply to you, including tax practitioner confidentiality rules, data protection laws, and the Federal Trade Commission Safeguards Rule where it applies.
- You will not enter information you have no right to use.
We act as your service provider for Customer Data. We will not sell it, use it for advertising, or use it to train machine learning models. Our security commitments are described in the Privacy Policy. You can export reports of your data from inside the Service at any time, and we deliver them to you by email. You can also ask us for a copy of your data when your account ends.
4. Acceptable use
You agree not to:
- Use the Service to break the law or to infringe anyone's rights.
- Try to access accounts, data, or systems that are not yours.
- Probe, scan, or test the security of the Service without our written permission.
- Send spam or unsolicited messages through the Service.
- Upload malware or content that damages or interferes with the Service.
- Resell the Service, or use it to build a competing product.
- Reverse engineer the Service, except where the law allows it regardless of this term.
- Use automated tools to extract data from the Service beyond the API and integrations we provide.
We may suspend an account that violates these rules. Where practical, we will warn you first and give you a chance to fix the problem.
5. Fees and payment
- Fees are the amounts stated on our pricing page or in your order at signup. Prices are in US dollars and exclude taxes.
- Subscriptions are billed as agreed at signup. If a payment fails, we will contact you, and we may suspend the account until the balance is paid.
- Launch pricing, free trial periods, and the money-back guarantee apply as described on our pricing page at the time you sign up. The money-back guarantee covers subscription fees paid to CPA Connect; it does not cover payment processing fees charged by Stripe.
- If you use the Service to accept payments from your clients, Stripe's terms apply to those payments. Stripe's processing fees and a CPA Connect platform fee, shown at the time of payment, are deducted from each client payment.
- We may change prices with at least 30 days' notice. Price changes take effect at your next billing period after the notice period.
6. Term and termination
- You can cancel at any time by contacting us. Cancellation takes effect at the end of the current billing period, and we do not refund partial periods except under the money-back guarantee.
- We may terminate or suspend your account if you materially breach these Terms and do not fix the breach within 14 days of notice, if you fail to pay, or if the law requires it.
- After termination we delete your data within 90 days, except for records we must keep by law. If you want a copy of your data, ask us before you cancel. Backups are purged on their normal ten-day schedule.
- Sections 3, 7, 8, 9, 10, 11, and 12 survive termination.
7. Intellectual property
The Service, including its software, design, and content that we provide, belongs to CPA Connect and its licensors and is protected by intellectual property law. These Terms do not give you any right to it beyond the right to use the Service. If you send us feedback or suggestions, we may use them without any obligation to you.
8. Third-party services
The Service works with third-party products such as Stripe, Zapier, and AI assistants. Those products are governed by their own terms, and we are not responsible for them. You choose whether to connect them, and you can disconnect them at any time.
9. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
CPA Connect is a software tool. It does not provide accounting, tax, legal, or financial advice, and it does not replace your professional judgment. You are responsible for the accuracy of the work you produce with it, including invoices, tax calculations, and filings.
10. Limitation of liability
To the fullest extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of these Terms or the Service, even if advised of the possibility.
To the fullest extent the law allows, our total liability for all claims arising out of these Terms or the Service is limited to the fees you paid us in the twelve months before the event that gave rise to the claim.
These limits do not apply to a party's breach of its confidentiality obligations, to a party's indemnification obligations, or to liability that cannot be limited by law.
11. Indemnification
You will defend and indemnify CPA Connect against third-party claims arising from Customer Data, from your use of the Service in violation of these Terms, or from your violation of law. We will defend and indemnify you against third-party claims that the Service, as provided by us, infringes that party's intellectual property rights. The indemnified party must give prompt notice of the claim and reasonable cooperation, and the indemnifying party controls the defense.
12. Governing law and disputes
These Terms are governed by the laws of the State of Tennessee, without regard to its conflict of law rules. Any dispute that the parties cannot resolve informally within 30 days will be brought in the state or federal courts located in Williamson County, Tennessee, and both parties consent to the jurisdiction of those courts. Either party may seek an injunction in any court to protect its intellectual property or confidential information.
13. Changes to these Terms
We may update these Terms. We will post the new version here and change the date at the top. For material changes, we will email firm administrators at least 30 days before the change takes effect. Continued use of the Service after that date means you accept the new Terms.
14. General
- These Terms, together with the Privacy Policy and any order you sign, are the entire agreement between us about the Service.
- If any part of these Terms is found unenforceable, the rest remains in effect.
- Neither party may assign these Terms without the other's consent, except to a successor in a merger or sale of substantially all assets.
- Neither party is liable for delays caused by events beyond its reasonable control.
- Notices to us go to support@mycpaconnect.com. Notices to you go to the email address of your firm's administrators.
